закрытое акционерное общество
Акционерное общество, в котором акции распределяются только среди его учредителей или иного заранее определенного круга лиц. Это общество не вправе проводить открытую подписку на выпускаемые им акции. Число акционеров не должно превышать 50 человек, а минимальный уставный капитал не должен быть менее стократной суммы минимального размера оплаты труда.

Акционерное общество, в котором акции распределяются только среди его учредителей или иного заранее определенного круга лиц. Это общество не вправе проводить открытую подписку на выпускаемые им акции, то есть его акции не продаются на национальной или местных биржах, или на внебиржевом рынке. В разных странах по-разному ограничивается число акционеров ЗАО В отличие от публичных (открытого типа) компаний, закрытыми компаниями (компаниями закрытого типа) часто управляют непосредственно их акционеры, в то время как для первых это не характерно. Тогда как приоритетной целью управления открытой компанией является максимизация богатства акционеров с помощью выплаты дивидендов или через повышение стоимости капитала компании (доход в расчете на одну акцию является обычно используемым стандартом при оценке успешности управления такой компанией), собственник/ оператор ЗАО, как частной компании, нередко имеет возможность максимизировать свои выгоды через заработную плату и другие побочные источники, не столь заботясь о прибылях. Прибыльность этой компании, однако, имеет значение для банкиров, налоговиков, акционеров — аутсайдеров и других представителей “третьей стороны”.
